GENERAL TERMS OF SERVICE

    By purchasing, accessing, or participating in any general products, services, workshops, or virtual events (collectively, the "Services") provided by CalmLogic LLC, including those operating under the registered assumed business name SoulLogic ("Company," "we," "us," or "our"), you ("Client," "Participant," or "you") agree to be bound by the following Terms of Service ("Terms").

    (Note: Specialized retreats, wilderness excursions, and ceremonial events require a separate specialized liability waiver and are not governed solely by these general Terms).

    1. Financial Terms: Payments, Refunds, and Rescheduling

    • Payments: All fees for individual Services and virtual workshops must be paid 100% in advance. For corporate engagements, a 50% non-refundable deposit is required to secure the date, with the remaining balance due 14 days prior to the scheduled event.

    • Refund Policy: Clients may request a full refund within 30 days of their original purchase date, provided that the request is made strictly no later than 48 hours prior to the start of any scheduled session or event. No refunds will be issued for requests made within 48 hours of a scheduled event or after a Service has been rendered.

    • Rescheduling: Clients may reschedule a session or workshop registration free of charge if the request is submitted at least 48 hours prior to the scheduled start time.

    • Late Rescheduling & No-Shows: Rescheduling requests made less than 48 hours prior to the start time will incur a 10% rebooking fee. Exceptions to this fee may be granted solely at the discretion of CalmLogic LLC in the event of documented exigent circumstances. Failure to attend a scheduled session without prior notice (a "no-show") results in the immediate forfeiture of all fees paid.

    2. Medical Disclaimer & Assumption of Risk

    • Educational Purposes Only: The Services provided by CalmLogic LLC and SoulLogic, including but not limited to BioLogic Engineering, the logiCALMind™ Framework, breathwork, and wellness coaching, are strictly for educational and self-optimization purposes.

    • Not Medical Advice or Treatment: CalmLogic LLC and its representatives are not acting as licensed medical professionals. Our Services do not involve the practice of medicine. We do not treat or diagnose any medical conditions. We do not administer or prescribe any medications. We do not perform manipulations or adjustments of the human skeletal structure, nor do we perform massage using implements.

    • Not Mental Health Professionals: We are not licensed psychiatrists, psychologists, therapists, counselors, or clinical social workers. Our Services are not a substitute for professional mental health care, psychotherapy, or trauma counseling. We do not diagnose or treat mental health disorders. If you are experiencing psychological distress, you agree to seek the care of a licensed mental health professional.

    • Breathwork & Physiological Response: Certain Services, such as breathwork, can induce strong physiological and emotional responses, including but not limited to lightheadedness, tingling, or emotional release. By participating, you voluntarily assume all risks, both known and unknown. You agree to consult with a licensed healthcare provider before beginning any new wellness regimen, especially if you have a history of cardiovascular, respiratory, or psychological conditions.

    3. Intellectual Property

    • Proprietary Materials: All content, frameworks (including the logiCALMind™ Framework), digital downloads, workbooks, and materials provided during our Services are the exclusive intellectual property of CalmLogic LLC.

    • Limited License: You are granted a single-user, limited, non-exclusive, non-transferable license to use these materials for your personal, internal educational use. You may not reproduce, distribute, reverse-engineer, sell, or share these materials with third parties or non-attending personnel within your organization without express written consent from CalmLogic LLC.

    • Media and Recording: Unauthorized audio or video recording of any CalmLogic LLC or SoulLogic workshop, session, or event is strictly prohibited. We reserve the right to record sessions for internal quality assurance or promotional purposes; attendance constitutes your consent to such recording unless you explicitly opt out in writing prior to the event.

    4. Code of Conduct & Operations

    • Right to Refuse Service: We reserve the right to remove any Client or Participant from a virtual or in-person session, without refund, if their behavior is deemed disruptive, hostile, or unsafe to our staff or other participants.

    • Service Modifications: We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time.

    5. General Provisions

    • Privacy Policy Acceptance: By purchasing, accessing, or participating in our Services, you also acknowledge and agree to our Privacy Policy, found HERE. Our Privacy Policy outlines how we collect, use, and safeguard your personal, medical, and payment information.

    • Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Idaho, without regard to its conflict of law principles.

    • Modifications to Terms: CalmLogic LLC reserves the right to update or modify these Terms at any time without prior notice. The updated Terms will be effective immediately upon posting to our website or payment portal. Your continued use of the Services following any changes constitutes your acceptance of the revised Terms.
